These Terms and Conditions govern your use of the Kiri Cyber Services website and our professional services. Please read them carefully before submitting enquiries, placing orders, or engaging us for cybersecurity, development, or digital products work.
Agreement to these terms
By accessing this website, submitting a form, purchasing a product, or engaging Kiri Cyber Services ("we", "us", or "our") for services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, please do not use our website or services.
About our services
Kiri Cyber Services provides cybersecurity consulting, managed protection, web development, digital products, hosting-related services, and related professional solutions. The specific scope, deliverables, fees, milestones, and support terms for client projects are set out in proposals, statements of work, invoices, or separate written agreements, which prevail where they conflict with these general Terms.
Quotes, orders, and payment
Quotes are valid for the period stated in the quote or, if no period is stated, fourteen (14) days from the date issued. Prices may be quoted in USD, UGX, or another currency as clearly indicated. Unless otherwise agreed in writing, payment is due upon invoice or at checkout for online purchases.
Late or incomplete payment may delay delivery, suspend access to services, or incur additional recovery costs where permitted by law. Subscription or recurring services renew according to the billing terms displayed at purchase unless cancelled in accordance with the applicable product terms.
Client responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate, complete, and timely information
- Maintain appropriate backups, credentials, and internal approvals for systems we support
- Use our services lawfully and not for harmful, fraudulent, abusive, or unauthorized activity
- Ensure you have the legal right to share any content, data, credentials, or materials you provide to us
- Review deliverables promptly and raise reasonable concerns within the agreed review period
Intellectual property
Unless otherwise agreed in writing, upon receipt of full payment we assign or grant you the rights to project deliverables as specified in your agreement. We retain ownership of our pre-existing software, frameworks, methodologies, templates, branding assets, and general know-how.
Any materials, code, or content we create for you remain our property until payment is received in full, where applicable. You may not reproduce, resell, or misrepresent our work without prior written consent.
Confidentiality
Each party agrees to treat non-public business, technical, and security information received from the other as confidential, except where disclosure is required by law or already publicly available through no fault of the receiving party.
Security and professional standards
We apply reasonable professional standards in delivering cybersecurity and technical services. You acknowledge that no audit, assessment, implementation, or monitoring service can guarantee absolute protection against all threats, vulnerabilities, or third-party attacks.
Disclaimer of warranties
To the fullest extent permitted by law, our website and general services are provided on an "as is" and "as available" basis. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are prohibited by applicable law.
Limitation of liability
To the maximum extent permitted by law, Kiri Cyber Services shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity arising out of or related to these Terms or our services.
Our total aggregate liability for any claim arising from these Terms or a specific service shall not exceed the amount paid by you to us for that service in the twelve (12) months immediately preceding the event giving rise to the claim, except where liability cannot be limited under applicable law.
Third-party services
We may integrate with or link to third-party platforms such as payment processors, hosting providers, analytics tools, or external application portals. Those services are governed by their own terms and privacy policies, and we are not responsible for their availability, conduct, or content.
Acceptable use
You may not attempt to interfere with the proper functioning of our website, probe or breach security measures without authorization, scrape content in violation of law or these Terms, upload malicious code, or use our services in a manner that infringes the rights of others or violates applicable law.
Suspension and termination
We may suspend or terminate access to our website or services if you breach these Terms, fail to pay amounts due, or if continued access poses a security, legal, or operational risk. Provisions that by their nature should survive termination — including payment obligations, confidentiality, intellectual property, disclaimers, and limitations of liability — will survive.
Governing law and disputes
These Terms are governed by the laws of the Republic of Uganda, without regard to conflict-of-law principles. Unless otherwise agreed in writing, disputes shall be subject to the exclusive jurisdiction of the courts of Uganda.
Changes to these terms
We may revise these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of the website after changes are published constitutes acceptance of the updated Terms.
